Work for Hire Agreement
Parties:
This Work for Hire Agreement is entered into as of [5/4/24] by and between: VNATech (hereinafter referred to as "Contractor"),
And Ryan Eastman] (hereinafter referred to as "Customer").
Background:
Contractor is engaged in the business of website development and design services. Customer desires to engage Contractor to develop and design a website (the "Website") according to the specifications provided by Customer.
Agreement:
1. Scope of Work: Contractor agrees to provide website development and design services to create the Website in accordance with the specifications provided by Customer. The specific details of the project, including milestones and deliverables, are outlined in an initial project proposal in which both parties have a copy.
2. Ownership Rights: Customer acknowledges and agrees that the Website, including all intellectual property rights therein, shall be the exclusive property of Customer from the start of the project, through to the completion of the project & forever after. Contractor hereby assigns and transfers to Customer all right, title, and interest in and to the Website, including but not limited to copyright, trademark, and any other intellectual property rights.
3. Repercussions and Liabilities: Customer assumes full ownership and responsibility for the Website, including any repercussions arising from its use, content, or operation. Customer agrees to indemnify, defend, and hold harmless Contractor from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorney fees, arising out of or related to the Website.
4. Confidentiality: Contractor agrees to keep confidential all information provided by Customer in connection with the project and shall not disclose such information to any third party without Customer's prior written consent.
5. Term and Termination: This Agreement shall commence on the effective date set forth above and shall continue until the completion of the project. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within 30 days of receiving written notice thereof.
6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of New York State & the United States of America, without regard to its conflicts of laws principles.
