Parties Involved:
THIS AGREEMENT (“Agreement”) dated 7/3/24 (the “Effective Date”) is made between VNATech (the “Company”), and Sarah Fantom (the “Freelancer”), for the purpose of setting forth the exclusive terms and conditions by which VNATech desires to acquire Freelancer’s services.
In consideration of the mutual obligations specified in this Agreement, the parties, intending to be legally bound hereby, agree to the following
1. Services: Company retains Freelancer, and Freelancer agrees to perform for Company, certain services this Agreement (the “Services and Scope of Work”).
2. Services and Scope of Work: The Independent Contractor agrees to a baseline weekly schedule of 10AM - 12PM Monday - Friday during the initial training period. This can be increased or decreased during the training period upon mutual agreement from both Freelancer & Company. Freelancer agrees to provide services for VNATech including, but not limited to: social media management (posting, creating content, following, unfollowing, and engaging with the audience), customer relations (reaching out to customers, attending meetings, answering questions, and providing customer support), tech support (small website tasks, answering company phone calls), and navigating Freshdesk ticketing software to complete all assigned tickets. Additionally, there may be opportunities for extra work, including marketing events, video recording, and distributing flyers and business cards.
3. Compensation:
The Independent Contractor will receive a base pay of $18 per hour during the training period, which ranges from 30 to 90 days, depending on the contractor's learning pace and experience. Upon completion of the training period, a new contract may be awarded & the hourly rate will adjust, contingent on performance and value provided. Additionally, the Independent Contractor is eligible for commissions, earning 25% on any current or future Customer’s first-time purchase when they successfully convert leads into clients or initiate the conversation that converts into a first time sale.
Commission bonuses will be added to the following pay period. For all in-person marketing events, the pay rate is $25 per hour base + bonuses on certain tickets / jobs.
4. Payment Terms: VNATech will compensate the Independent Contractor every other Friday (biweekly) via Zelle, CashApp, Venmo, or PayPal.
5. Tax Information and Responsibilities: As an Independent Contractor, you are responsible for managing and reporting your own taxes and tax write-offs. VNATech does not withhold any federal, state, or local taxes from your payments. You are encouraged to consult with a tax professional to ensure compliance with tax laws and to manage your tax obligations effectively. VNATech will provide a 1099 form at the end of each fiscal year for your records.
6. Confidentiality:
The independent contractor agrees to maintain the confidentiality of all intellectual property, business operations, strategies, client lists, pricing, and any other proprietary information disclosed by VNATech. This includes protecting personal data in accordance with applicable data protection laws. The contractor must not disclose or use any confidential information except as necessary to perform their duties under this agreement. Confidentiality obligations remain in effect indefinitely, even after termination of the contract. Violation of these obligations may result in termination of the agreement and pursuit of legal remedies by VNATech.
The independent contractor also agrees to maintain the confidentiality of all passwords, login information, payment methods, and any personal information pertaining to the Company and its clients. The contractor shall not disclose such information to any third party without the permission of VNATech, or use it for any purpose other than performing their duties under this agreement.
7. Termination:
In the event that the independent contractor breaches any terms of this agreement, including but not limited to confidentiality obligations, and such breach results in damage to VNATech's reputation, violation of laws, or compromise of security, VNATech reserves the right to immediately terminate the agreement. Furthermore, VNATech may hold the contractor responsible for any damages incurred and may pursue legal action to enforce its rights and seek appropriate remedies.
Either party may terminate this agreement upon written notice if the other party breaches any material term of this contract, fails to perform obligations hereunder, or engages in conduct detrimental to VNATech's reputation or legal compliance. Upon termination, the contractor shall immediately cease all activities and return any VNATech property or data in their possession. VNATech reserves the right to pursue legal remedies for any damages resulting from the termination.
Any dispute or claim arising out of or relating to this agreement will first be attempted to be resolved through good faith negotiations between the parties. If negotiation fails, the parties agree to seek mediation by a mutually agreed-upon mediator. If mediation is unsuccessful, the dispute will be resolved through binding arbitration.
8. Independent Contractor Status:
The parties acknowledge and agree that the independent contractor is engaged as an independent contractor and not as an employee of VNATech.
