VNATECH LEAD GENERATION CONTRACT AGREEMENT

This Agreement** is made and entered into as of [8/22/24], by and between:

 

**Swartzendruber Solutions Agency / Benefits for Trucking**, hereinafter referred to as the "Contractee" ,

 

and

 

**VNATech**, hereinafter referred to as the "Contractor".

 

WHEREAS, the Contractee desires to engage the Contractor for lead generation services. The Contractor agrees to perform such services under the terms and conditions set forth herein;

 

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties hereto agree as follows:

 

1. Scope of Work

 

The Contractor agrees to provide lead generation services "on behalf of" the Contractee (Swartzendruber Solutions Agency / Benefits for Trucking). The Contractor shall conduct all lead generation activities, including but not limited to outreach, marketing, and communication with potential leads, under the explicit representation that such activities are conducted "on behalf of" the Contractee.

 

2. Authorization to Represent

 

The Contractee authorizes the Contractor to represent the Contractee in all lead generation activities. The Contractor is expressly permitted to use the phrase "on behalf of” for Benefits for Trucking in all communications with potential leads and during the execution of all lead generation activities.

 

3. Creation and Use of Media Content

 

The Contractor is granted the right to create and use images, pictures, videos, and other media content relating to the Contractee's business for the purpose of lead generation. This includes the promotion of Benefits for Trucking.
 

4. Liability and Indemnification

 

The Contractee, Swartzendruber Solutions Agency / Benefits for Trucking, assumes any and all liability for any legal actions or damages that may arise as a result of the Contractor’s lead generation activities, including actions performed by VNATech and its freelancers and affiliates. The Contractee agrees to indemnify and hold harmless the Contractor, VNATech, and any related freelancers or affiliates from any claims, damages, or legal actions arising from the Contractor’s execution of the services outlined in this Agreement.

 

5. Agreement of Compensation

 

In cases where the referred leads result in closed deals on employee benefits, the Referrer or Contractor shall be entitled to additional bonuses after the new client has completed enrollment.

This will pay as follows:

 

10 - 50 Employees: $250

51 - 100 Employees: $500

101 - 200 Employees: $750

200+ Employees $1,000

 

6. Confidentiality

 

The Contractor agrees to maintain the confidentiality of all proprietary or confidential information provided by the Contractee during the term of this Agreement and thereafter. This obligation shall not apply to information that is publicly known, rightfully received from a third party, or independently developed by the Contractor.

 

7. Term and Termination

 

This Agreement shall commence on [8/22/24] and continue indefinitely until terminated by either party with [10] days' written notice unless otherwise agreed upon by both Contractor & Contractee. Upon termination, the Contractor shall promptly return all materials, including any confidential information, belonging to the Contractee.

 

8. Governing Law

 

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
 

9. Entire Agreement

 

This Agreement along with “Swartzendruber Solutions - Referral Compensation Agreement With VNATech” constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, and communications, whether written or oral.

 

10. Amendments

 

Any amendments or modifications to this Agreement must be in writing and signed by both parties.
